Software License Agreement
Effective Date : July 1, 2026
This Software License Agreement ("Agreement") governs the purchase, licensing, implementation, customization, and support of software products and related services provided by GazeIT ("Company," "we," "our," or "us").
By purchasing software licenses or engaging GazeIT for implementation or consulting services, you ("Customer") agree to the terms of this Agreement.
1. About GazeIT
GazeIT is a technology consulting and implementation company providing professional services including:
Software License Reselling
ERP & CRM Implementation
Business Process Consulting
Workflow Automation
Custom Development
API Integration
Data Migration
User Training
Annual Maintenance & Support
GazeIT acts as an authorized reseller, implementation partner, and consulting partnerfor selected third-party software products. GazeIT is not the owner or developer of such software unless expressly stated.
2. Third-Party Software Products
GazeIT may sell, recommend, implement, or support software products from third-party publishers, including but not limited to:
Zoho One
Zoho CRM
Zoho Books
Zoho Inventory
Zoho Creator
Zoho People
Zoho Payroll
Zoho Desk
Zoho Projects
GOFRUGAL RetailEasy
GOFRUGAL Restaurant POS
GOFRUGAL Distribution Software
Other software solutions offered by authorized vendors
All trademarks, copyrights, and intellectual property remain the exclusive property of their respective owners.
3. Zoho & Gofrugal Subscription Licenses
For Zoho products:
Licenses are subscription-based.
Zoho software licenses are issued by GazeIT through the official Zoho Partner Portal and are hosted and managed by Zoho Corporation. GazeIT acts as the authorized sales, implementation, and support partner, while Zoho Corporation is responsible for the software platform, subscription management, and cloud infrastructure.
License validity, renewal, pricing, user limits, and usage rights are governed by Zoho's applicable license agreement and subscription policies.
GazeIT acts as a reseller, implementation partner, and support partner where applicable.
Customers must comply with all Zoho licensing terms and acceptable use policies.
4. GOFRUGAL Perpetual Licenses
For GOFRUGAL perpetual licenses:
The software license grants the Customer the right to use the licensed version in accordance with GOFRUGAL's licensing terms.
The license does not transfer ownership of the software.
Updates, upgrades, cloud services, support, or Annual License Renewal (ALR) may require separate purchase, After 1 year from the date of license activation.
License activation, hardware binding, migration, and transfer are subject to GOFRUGAL's policies.
5. Scope of GazeIT Services
Unless otherwise agreed in writing, GazeIT may provide:
Business Requirement Analysis
Software Installation and Configuration
Implementation Services
Workflow Design
Data Migration
API Integration
Custom Development
Report Development
User Training
Go-Live Assistance
Technical Support
Implementation services are separate from software licensing fees.
6. Customizations
Any customization, workflow, integration, report, or automation developed by GazeIT will be based on the agreed project scope.
Additional requirements beyond the approved scope may require:
New quotations
Additional implementation charges
Revised timelines
Customizations may affect compatibility with future software updates. GazeIT will make reasonable efforts to minimize such impacts but cannot guarantee compatibility with future vendor releases.
7. Software Ownership
The Customer acknowledges that:
Software ownership remains with the original software publisher.
Purchasing a license grants only the right to use the software in accordance with the publisher's terms.
No ownership rights are transferred through the purchase of a license or implementation services.
8. License Fees
Software license fees are determined by the respective software publisher or distributor.
Unless otherwise specified:
License fees are non-refundable after activation.
Subscription renewals are subject to the publisher's current pricing.
Taxes are additional where applicable.
Delayed payments may result in suspension of services or delayed license provisioning.
9. Customer Responsibilities
The Customer agrees to:
Purchase sufficient software licenses for intended users.
Use software only in accordance with the applicable license terms.
Maintain valid subscriptions where required.
Provide accurate business requirements.
Participate in implementation and testing.
Maintain regular backups of business data.
Protect login credentials and account security.
10. Support Services
Support provided by GazeIT may include:
Remote Assistance
Functional Guidance
Configuration Support
Basic Troubleshooting
User Training
Implementation Assistance
Support for product defects, software bugs, or core platform issues may require escalation to the respective software publisher.
11. Software Updates
Software updates, patches, new features, and product enhancements are solely controlled by the respective software publisher.
GazeIT does not guarantee:
Availability of future features.
Compatibility of customizations with future updates.
Product roadmap decisions made by software vendors.
12. Intellectual Property
All software, trademarks, logos, copyrights, patents, and related intellectual property remain the property of their respective owners.
Custom documentation, implementation methodologies, templates, and proprietary materials created by GazeIT remain the intellectual property of GazeIT unless otherwise agreed in writing.
13. Warranty Disclaimer
GazeIT provides implementation and consulting services using commercially reasonable skill and care.
Except as expressly stated in writing:
GazeIT does not warrant uninterrupted software operation.
GazeIT does not guarantee specific business outcomes, profitability, or operational improvements.
Software performance depends on the underlying publisher, customer infrastructure, and proper usage.
Any warranties relating to third-party software are provided solely by the respective software publisher, if applicable.
14. Limitation of Liability
To the maximum extent permitted by law, GazeIT shall not be liable for:
Business interruption.
Loss of profits or revenue.
Loss of data resulting from customer actions or third-party failures.
Downtime caused by software vendors or internet service providers.
Issues arising from unauthorized modifications or misuse of the software.
Where permitted by law, GazeIT's total liability shall not exceed the fees paid by the Customer to GazeIT for the specific implementation or consulting services giving rise to the claim.
15. Termination
This Agreement may terminate upon:
Expiration or cancellation of applicable software subscriptions.
Completion of contracted services.
Material breach of these terms.
Mutual written agreement.
Termination does not affect outstanding payment obligations or license terms imposed by the software publisher.
16. Governing Law
This Agreement shall be governed by the laws of India.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India, unless otherwise agreed in writing.
17. Changes to This Agreement
GazeIT may revise this License Agreement from time to time. Updated versions will be published on our website and become effective on the stated effective date.
